PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICES. BY ACCESSING OR USING CUB SOFTWARE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS OF USE AND ALL APPLICABLE LAWS AND REGULATIONS.

1. Acceptance of Terms

By accessing, browsing, or using CUB SOFTWARE services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use ("Terms"). If you do not agree with any part of these Terms, you must immediately discontinue use of our Services.

These Terms constitute a legally binding agreement between you and CUB SOFTWARE. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Services following any modifications constitutes your acceptance of the revised Terms.

2. Eligibility

You must be at least 13 years of age to use our Services. If you are under 18 years of age, you represent that you have your parent's or legal guardian's permission to use the Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

These Services are provided "AS IS" and "AS AVAILABLE" for personal use only. We reserve the right to modify, suspend, or discontinue any Service at any time without notice.

4. User Accounts and Authentication

Some Services require authentication through third-party providers (Discord OAuth or Twitch OAuth) via the unified CUB SOFTWARE login system. By authenticating:

• You authorize us to access certain information from your third-party account as permitted by that platform
• You are responsible for maintaining the security of your account credentials
• You agree to notify us immediately of any unauthorized access to your account
• You are solely responsible for all activities that occur under your account

We reserve the right to terminate or suspend your account at any time for any reason, including but not limited to violation of these Terms.

5. User Responsibilities

As a user of our Services, you agree to:

• Use the Services only for lawful purposes and in accordance with these Terms
• Respect all applicable copyright laws, trademark laws, and intellectual property rights
• Not download, copy, or distribute content you do not have the legal right to access
• Not use downloaded content for commercial purposes without proper authorization
• Comply with the terms of service of any third-party platforms our Services interact with
• Not misrepresent your identity or affiliation with any person or organization
• Accept sole responsibility for how you use content obtained through our Services
• Not use the Services in any way that could damage, disable, or impair our servers or networks

6. Prohibited Activities

You agree NOT to use our Services to:

• Download, distribute, or share copyrighted content without proper authorization from the copyright holder
• Create, share, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Distribute malware, viruses, or any other harmful code
• Create shortened links (via our Link Shortener) that redirect to malicious websites, phishing pages, illegal content, or spam
• Attempt to gain unauthorized access to our systems, servers, or other users' accounts
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of our Services
• Use automated scripts, bots, or scrapers to access our Services without authorization
• Circumvent, disable, or interfere with security-related features of our Services
• Engage in any activity that violates applicable local, state, national, or international laws
• Impersonate any person or entity or falsely state or misrepresent your affiliation
• Collect or store personal data about other users without their consent
• Use the Services for any commercial purpose without our express written consent
• Overload, flood, or spam our servers or Services
• Share server templates (via CleanMe) that contain inappropriate server structures or violate Discord's Terms of Service

7. User-Generated Content

Our Services allow users to create, upload, share, or submit content including but not limited to:

• Shortened URLs via the Link Shortener
• Server templates via CleanMe Website
• Shared resumes, countdowns, and sticky boards
• Reports and feedback submissions

By submitting content through our Services, you:

• Represent and warrant that you own or have the necessary rights to the content
• Grant CUB SOFTWARE a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with providing our Services
• Acknowledge that your content may be accessible to other users depending on the sharing settings you choose
• Accept sole responsibility for your content and any consequences arising from its publication

We do not endorse, verify, or guarantee the accuracy of any user-generated content. We reserve the right to remove any content that violates these Terms or is otherwise objectionable, at our sole discretion and without notice.

8. Link Shortener Terms

The Link Shortener service (cubsw.link) is provided for legitimate URL shortening purposes only. By using this service, you agree that:

• You will not create shortened links to malicious, illegal, or harmful content
• You will not use shortened links for phishing, scams, or fraud
• You will not create links to content that violates third-party rights
• We may log your IP address for abuse prevention and may share this information with law enforcement if required
• We reserve the right to disable any shortened link at any time without notice
• We are not responsible for the content of destination URLs
• Shortened links may be subject to rate limiting

9. Discord Bot Terms

Our Discord bots (QuestCord, CleanMe, CUB Protector) operate within Discord's platform. By using our bots:

• You agree to comply with Discord's Terms of Service and Community Guidelines
• You acknowledge that our bots require certain permissions to function properly
• You accept responsibility for any actions taken by our bots in servers where you have administrator privileges
• You understand that using the CleanMe /copy command will delete existing server content
• You agree not to use our bots to harass, spam, or abuse other Discord users
• CUB Protector moderation actions (bans, kicks, mutes) are final and may not be reversible; you are responsible for configuring the bot appropriately
• We are not responsible for any data loss or moderation actions resulting from bot usage

9a. Twitch Integration Terms

Services that integrate with Twitch (Multi-Twitch, CubReactive, CubPresence, Stream Overlays) operate within Twitch's platform. By using these services:

• You agree to comply with Twitch's Terms of Service and Community Guidelines
• You acknowledge that Twitch chat features require authentication via Twitch OAuth
• You are responsible for any messages sent through chat integration features
• We are not responsible for changes to Twitch's API that may affect Service functionality

9b. Affiliate Program Terms

The CUB SOFTWARE Affiliate Program is available to approved applicants only. By participating:

• You agree to promote CUB SOFTWARE honestly and in compliance with applicable advertising laws
• You must not use deceptive, misleading, or spam-based promotion methods
• You must not artificially inflate click counts or engage in click fraud
• Commission rates and payout terms are set per affiliate and may be adjusted at our discretion
• We reserve the right to terminate your affiliate status and withhold commissions if you violate these Terms
• Your vanity link and affiliate account remain our property and may be revoked at any time

10. Third-Party Services and Links

Our Services may contain links to or integrate with third-party websites, services, or platforms (including but not limited to Instagram, TikTok, Twitter/X, Facebook, YouTube, Discord, and various APIs). We are not responsible for:

• The content, accuracy, or practices of any third-party services
• Any damages or losses caused by your use of third-party services
• Changes to third-party APIs that may affect our Services' functionality

Your use of third-party services is governed by their respective terms of service and privacy policies.

11. Intellectual Property

The CUB SOFTWARE name, logo, and all related trademarks, service marks, and trade names are the property of CUB SOFTWARE. The Services, including all code, design, text, graphics, and interfaces, are owned by CUB SOFTWARE and protected by intellectual property laws.

Content downloaded or accessed through our Services remains the property of its respective copyright holders. We do not claim ownership of any third-party content.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will meet your requirements or expectations
• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Services will be accurate or reliable
• Any errors in the Services will be corrected
• The Services will be compatible with your device or software

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CUB SOFTWARE AND ITS OWNER, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Services
• Any unauthorized access to or use of our servers or any personal information stored therein
• Any interruption or cessation of transmission to or from the Services
• Any bugs, viruses, or other harmful code that may be transmitted through the Services
• Any errors or omissions in any content obtained through the Services
• The conduct of any third party on the Services
• Any content downloaded using our Services

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS (WHICH IS $0 FOR FREE SERVICES).

14. Indemnification

You agree to indemnify, defend, and hold harmless CUB SOFTWARE, its owner, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any content you submit, post, or transmit through the Services
• Your violation of any applicable laws or regulations

15. Access Restrictions and Bans

We reserve the right to restrict, suspend, or terminate your access to our Services at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Suspicious or abusive activity
• Request by law enforcement or government agencies
• Technical or security issues

IP addresses may be banned temporarily or permanently. Banned users may not attempt to circumvent bans by using VPNs, proxies, or other means.

16. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Services will immediately cease
• We may delete any content or data associated with your use
• All provisions of these Terms which by their nature should survive termination shall survive

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which CUB SOFTWARE operates, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within that jurisdiction.

18. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Services, constitute the entire agreement between you and CUB SOFTWARE regarding the use of our Services and supersede any prior agreements.

21. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by CUB SOFTWARE.

22. Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

23. Force Majeure

CUB SOFTWARE shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
